TERMS

QUOTES:

Written errors or typos are subject to correction by ESSEX INDUSTRIAL GROUP LLC after notifying the customer. Confirmation of telephone quotes will be faxed or e-mail forwarded upon request.

CREDIT:

First time orders must be paid via credit card only. To establish an open account, please supply us with your Bank (name and address) and 3 current trade references.

TERMS:

1% 10 days, Net 30 days.

No discount on credit card orders. All major credit cards accepted.

The purchaser agrees to be responsible for and to pay the Vendor, in addition to the invoice amount any and all costs incurred by seller to collect any unpaid invoiced amounts. Unless otherwise instructed in writing by the customer Essex Industrial Group LLC reserves the right to apply the "industry standard" of 10% over-shipment on all custom orders.

- Custom hardware stocking programs
- Contract pricing - MRO Programs
- Custom packaging: bagging
- Customer part number referencing
- Maintain multiple shipping addresses per account
- Certificate of Compliance (COC's), lot traceable
- Material Test Reports (MTR's), lot traceable
- Same day shipping, expedited shipping
- Shipping collect

SCHEDULED SHIPMENTS:

ESSEX INDUSTRIAL GROUP LLC may accept scheduled shipments within a one-year period. Schedule shipments cannot be cancelled and must be shipped with the one-year schedule.

SHIPMENTS:

ESSEX INDUSTRIAL GROUP LLC's responsibility ends with customer inspection & the acceptance of the shipment, or 10 days after customer receives the shipment.

SHIPPING F.O.B.:

Freight On Board- Orange, New Jersey, USA (Essex Industrial Group LLC Plant)

DROP SHIPMENTS:

Drop shipments will be made if we are notified in advance at no additional charge.

SPECS:

ESSEX INDUSTRIAL GROUP LLC reserves the right to revise the specs and tolerances on all Essex Industrial Group LLC cataloged parts without prior notice provided the revisions do not affect the customer application or the function of the parts. All materials are sold in accordance with tolerances and quality standards as furnished from manufacturers.

CANCELLATIONS:

Any standard items returned will be subject to a restocking charge determined by ESSEX INDUSTRIAL GROUP LLC. Customer cannot cancel any custom or modified parts once tooling and manufacturing has begun. Customer will be responsible to make full payment of nay customer of modified parts upon acceptance of purchase order.

RETURNS:

We will not accept returns without prior notice and approval from ESSEX INDUSTRIAL GROUP LLC. All requests for returns must be in writing, listing customer purchase order number, ESSEX INDUSTRIAL GROUP LLC part number, quantity, and reason for return. All returns will be subject to incoming inspection and acceptance, and must be shipped prepaid. An ESSEX INDUSTRIAL GROUP LLC Return Material Authorization (RMA) number must accompany all returns.

CLAIMS:

Claims of any kind or nature, except for latent defects are specifically barred unless made in writing within 5 days after the receipt of goods and in any event, prior to the altering of goods in any manner from the original condition of delivery. Claims for latent defects are barred unless presented within 30 days after the date of invoice.

WARRANTIES:

Seller makes no warranty of fitness of goods sold hereunder for any specific purpose of their merchantability or end use unless otherwise expressly stated herein and in the absence thereof Buyer undertakes the complete and entire responsibility of ascertaining whether the goods purchased hereunder meet the requirements or are suitable for Buyer's intended use. ESSEX INDUSTRIAL GROUP LLC shall not warrant the installation or use of its product in customer's application. ESSEX INDUSTRIAL GROUP LLC liability shall be limited to the cost of parts. ESSEX INDUSTRIAL GROUP LLC does not accept consequential damages. Title passes upon delivery to Carrier, irrespective of party selecting same.

MODIFIED PARTS:

Parts manufactured to customer specifications or requiring modifications cannot be returned or cancelled once manufacturing begins.

LIABILITIES:

ESSEX INDUSTRIAL GROUP LLC will not be liable for any delay or failure in delivery if its obligation to manufacture under this agreement is caused by or limited to flood, fire, war, strikes, accident, riot, insurrection, acts of God, orders of governmental agencies, or failure, or delay of transportation. If any such contingency occurs, ESSEX INDUSTRIAL GROUP LLC may distribute production and deliveries among its customers as ESSEX INDUSTRIAL GROUP LLC sees fit. The rights and obligations of all parties hereto shall be governed by and construed in accordance with the laws of the state of New Jersey.

All disputes shall be adjudicated in the state of New Jersey. These Terms and Conditions shall take precedence over all others. A purchase order will accept these terms. In the event that the customer defaults in the agreement of these terms and condition of sale, customer shall be liable to ESSEX INDUSTRIAL GROUP LLC for all losses, costs and expenses incurred by ESSEX INDUSTRIAL GROUP LLC by reason of the default including, without limitation, ESSEX INDUSTRIAL GROUP LLC's attorney, court and collection fees, whether or not suit or action is initiated.
